TERMS AND CONDITIONS OF USE — WELLNESS KEY INSIGHT

Welcome to Wellness Key Insight (the "App"), operated by Wellness Key LLC ("Company," "we," "us," or "our"). By downloading, installing, accessing, or using the App, you ("User" or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not access, download, or use the App.


1. Acceptance of Terms & Eligibility

  1. Age Requirement: You must be at least 13 years of age to use the App.
  2. Minors (Ages 13–17): If you are between 13 and 17 years of age, you represent that you have reviewed these Terms with your parent or legal guardian and that they have consented to your use of the App.
  3. Authority: By accessing the App, you represent and warrant that you have the legal capacity and authority to enter into a binding agreement.


2. Disclaimers: Informational & Nutritional Purposes Only (Not Medical Advice)

  1. No Medical or Nutritional Therapy: Wellness Key Insight is a self-tracking, educational, and lifestyle tool. The App, its features, and all AI-generated content (including meal estimations, caloric calculations, macro breakdowns, and wellness insights) are provided for general educational and informational purposes only.
  2. No Medical Diagnosis or Treatment: The App does not provide medical advice, clinical nutrition therapy, medical diagnosis, or treatment plans. It is not intended to prevent, manage, diagnose, or treat any medical condition, eating disorder, metabolic disorder, or disease.
  3. Consult a Qualified Healthcare Professional: Always consult your physician, registered dietitian, or qualified healthcare provider before making significant dietary changes, starting a new nutritional program, or modifying physical activity.
  4. Safety Protocols: Never disregard, avoid, or delay seeking professional medical advice because of information provided or calculated by the App. If you experience adverse physical symptoms, discontinue use immediately and seek professional care.


3. AI-Powered Nutritional Analysis & Data Output

  1. Artificial Intelligence Technology: The App utilizes artificial intelligence (including the Google Gemini API) to analyze user-provided text descriptions and uploaded meal photos to estimate caloric and macronutrient values.
  2. Estimations and Potential Inaccuracies: AI-generated estimations, portion recognitions, and nutrient values are approximations based on algorithmic pattern matching. They may contain inaccuracies or variations depending on food preparation, ingredient variations, photo quality, and lighting.
  3. User Responsibility: You acknowledge and agree that you are solely responsible for verifying nutritional data, managing your dietary choices, and confirming that food items do not contain personal allergens.


4. Subscriptions, In-App Purchases, and Billing

  1. Subscription Billing: Certain premium features require a paid auto-renewing subscription managed via RevenueCat and processed securely through Google Play In-App Billing.
  2. Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours prior to the end of the current subscription period.
  3. Cancellations & Refunds: You may manage or cancel your subscription at any time through your Google Play Account Settings (Google Play Store > Subscriptions). Cancellation takes effect at the end of the active billing period. All refund requests are subject to Google Play’s standard refund policies.


5. User Content and Device Permissions

  1. User Submissions: You retain ownership of any text inputs, meal descriptions, and photos you capture or upload to the App ("User Content").
  2. Limited Processing License: By uploading User Content, you grant Wellness Key LLC a non-exclusive, worldwide, royalty-free license to transmit and process such content solely for the purpose of delivering AI analysis and core App functionality to you.
  3. Permitted Use: You agree not to upload any content that is unlawful, infringing, sexually explicit, harmful, or contains malicious code.


6. Data Security, Privacy, and Local Encryption

  1. Privacy Policy: Your use of the App is governed by our Privacy Policy, which is incorporated into these Terms by reference.
  2. Local Database Encryption (SQLCipher): Your personal wellness history, daily meal entries, and notes are encrypted locally on your device using SQLCipher (256-bit AES encryption).
  3. Device Security: You are solely responsible for maintaining the physical security of your device and managing device-level passcodes or biometric locks.


7. Intellectual Property Rights

  1. Company Ownership: The App, including its visual design, UI layouts, source code, logos, brand marks (including Wellness Key® and Wellness Key Center®), graphics, and proprietary workflows, is the exclusive intellectual property of Wellness Key LLC and is protected by United States and international copyright, trademark, and intellectual property laws.
  2. Limited License: We grant you a revocable, non-exclusive, non-transferable, limited license to download and use the App for personal, non-commercial purposes on compatible devices you own or control.
  3. Restrictions: You agree not to reverse engineer, decompile, disassemble, copy, modify, distribute, or create derivative works of the App or any underlying algorithms.


8. Limitation of Liability

To the maximum extent permitted by applicable law (including the laws of the State of Florida):

  1. "As-Is" Basis: The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. Damages Waiver: In no event shall Wellness Key LLC, its owner, officers, affiliates, contractors, or licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the App, AI nutritional estimations, or services.
  3. Aggregate Liability: In no circumstance shall our total cumulative liability to you for all claims arising from the App exceed the greater of the amount you paid to us in the preceding six (6) months or $50.00 USD.


9. Indemnification

You agree to indemnify, defend, and hold harmless Wellness Key LLC, its owner, affiliates, contractors, and agents from and against any third-party claims, damages, liabilities, losses, costs, or expenses (including reasonable attorney's fees) arising out of or related to:

  1. Your use or misuse of the App;
  2. Your violation of these Terms; or
  3. Your violation of any applicable laws or third-party rights.


10. Governing Law, Venue, and Jurisdiction

  1. Governing Law: These Terms and any dispute arising from or related to the App shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles.
  2. Exclusive Jurisdiction: Any legal action, proceeding, or dispute arising under these Terms shall be instituted exclusively in the state or federal courts located in St. Lucie County, Florida, and you irrevocably consent to the personal jurisdiction and venue of such courts.


11. Modifications to Terms

We reserve the right to update or modify these Terms at any time to reflect operational, legal, or product enhancements. When changes are made, we will update the "Last Updated" date at the top of this document. Continued use of the App following any posted updates constitutes your acceptance of the revised Terms.
